1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and CogLogic Inc., a Delaware corporation ("CogLogic," "we," "us," or "our"), governing your use of the CogDrop application and the website at cogdrop.ai (collectively, the "Service").
By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old (16 in the EEA and UK) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. The Service
CogDrop is a cognitive accountability platform that lets you capture, triage, share, and resolve thoughts and observations. The Service includes the mobile and web applications, AI-assisted triage suggestions, lifecycle visibility on shared items, and related features we add from time to time.
CogDrop is currently in private beta. Access is invitation-only. Features may change, be added, or be removed during the beta period. We will make reasonable efforts to communicate material changes in advance.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at legal@cogdrop.ai if you suspect unauthorized access.
5. Your Content
5.1 Ownership
You retain all rights, title, and interest in the content you create or upload in the Service ("Your Content"). We do not claim ownership of Your Content.
5.2 License You Grant Us
You grant CogLogic a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to provide the Service to you and to the people you share with. This license terminates when you delete the content or your account, except as needed for backups and legal compliance.
5.3 We Do Not Use Your Content to Train AI Models
Your Content is not used to train, fine-tune, or improve any AI model — ours or any third party's. We contractually prohibit our AI subprocessors (such as Anthropic, OpenAI, and Google) from using your content for training. See our Privacy Policy for details.
5.4 Sharing
You decide what to share. When you CogDrop content to another user, they receive access to that content and to lifecycle metadata. Content you do not share remains private to your account.
6. AI Features (Advisory Only)
The Service includes AI-powered suggestions to help you triage your captures. The following terms apply to all AI features:
- Suggestions are advisory. The Service does not take actions on your behalf based on AI output. Every AI suggestion requires your explicit acceptance.
- You are responsible for your decisions. AI suggestions may be wrong, incomplete, or out of date. You should evaluate them before acting on them, particularly for decisions involving safety, legal, financial, or medical matters.
- You can disable AI features. Core capture, triage, sharing, and lifecycle functions work without AI suggestions enabled.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of any person.
- Send or store content that is unlawful, defamatory, harassing, threatening, obscene, or that constitutes child sexual abuse material.
- Send unsolicited bulk messages, spam, or phishing communications.
- Reverse engineer, decompile, or attempt to extract source code, except where this restriction is prohibited by law.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware, attempting unauthorized access, or circumventing rate limits or security controls.
- Scrape, harvest, or extract data from the Service except through interfaces we expressly provide for that purpose.
- Use the Service to make automated decisions about people that produce legal or similarly significant effects without appropriate safeguards.
We may suspend or terminate accounts that violate these rules.
8. Beta Service
CogDrop is in private beta. The Service is provided "as is" during this period and may contain bugs, errors, and incomplete features. We may modify or discontinue features without notice during the beta. We appreciate your feedback and may use it to improve the Service.
9. Fees
Pricing for the Service is currently in development. During private beta, access may be provided at no charge to invited users. We will provide reasonable advance notice before introducing paid plans or charging your account.
10. Intellectual Property
The CogDrop name, logo, lifecycle (Capture → Triage → Share → Acknowledge → Close Loop), and all related trademarks, designs, software, documentation, and other materials are owned by CogLogic Inc. or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.
11. Third-Party Services
The Service may integrate with third-party services (calendars, identity providers, AI providers). Your use of those services is governed by their own terms. We are not responsible for third-party services, but we will use commercially reasonable efforts to vet and contract with reputable providers.
12. Termination
You may terminate your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if we reasonably believe the Service is being used unlawfully, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive (including ownership, disclaimers, limitations of liability, indemnity, and dispute resolution).

You agree to defend, indemnify, and hold harmless CogLogic Inc. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from (a) your use of the Service, (b) your violation of these Terms, or (c) Your Content.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this Section prevents either party from seeking injunctive relief in any court of competent jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the application, by email, or by a notice on this page prior to taking effect. Your continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
18. Miscellaneous
These Terms (together with our Privacy Policy) constitute the entire agreement between you and CogLogic regarding the Service. If any provision is held to be unenforceable, the remainder will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
